Job Description
Reporting to the Chief Executive Officer, the successful candidate should be a professionally qualified company secretary with legal background and experience, and is expected to provide proactive and timely professional advice on all legislative, regulatory and corporate governance developments that might affect the Company’s operations.
Key Responsibilities
Handle full spectrum of company secretarial matters for the Company independently and ensure compliance with all statutory records / filings and regulatory disclosures
Formulate and implement policies and guidelines for the Company in accordance with statutory requirements, company secretarial practices and Company’s standards
Organise and ensure the smooth running of the Board and Executive Committee meetings, including preparing agenda and documents for discussions, taking minutes etc.
Provide advice and support on legal activities and business law issues related to the Company’s business strategies and operations, including drafting and negotiating contracts and maintaining awareness of ethics and compliance/governance services
Handle ad-hoc assignments and other duties assigned by the Company
Requirements
Holder of a bachelor’s degree or above in Law, Business, Corporate Governance, or related disciplines
Associate member of Hong Kong Institute of Company Secretaries (HKICS) / related professional bodies as well as holder of a legal qualification in Hong Kong
Around 5 years’ post-qualification experience with legal or professional firms / sizable organisations; at least 3 years of which in handling company secretarial affairs including taking minutes at board and committee meetings
Sound knowledge of Companies Ordinance, business and commercial laws, and other statutory compliance requirements in Hong Kong
High ethical standards, detail-oriented, well organised, and a strong sense of responsibility
Excellent command of written and spoken English and Chinese including Putonghua
Proficient with MS Office, Excel, Words and PowerPoint
Strong business acumen, and competent in drafting and negotiation skills
A team player, with strong interpersonal and communication skills
Independent, self-motivated, and able to work under pressure
